Terms and Conditions
Last updated 22 September 2026
These terms set out the framework for working with SIMBA and using the platform to support trusted access, service coordination and stakeholder operations.
01 — Who these terms are between
These terms are an agreement between SIMBA and the organisation or partner that is accessing the platform, project or service. By engaging with the platform, the party confirms it has authority to do so on behalf of that organisation.
02 — What SIMBA does
SIMBA provides a digital operating layer for registration, identity verification, member access, service discovery, referrals, payments and associated data exchange. It supports coordination across stakeholders and helps teams manage access and operational workflows with greater visibility and accountability.
03 — Accounts and access
You determine who can access the platform and what level of access is appropriate. You are responsible for keeping credentials secure and for managing user permissions within the framework agreed with SIMBA.
04 — Your content and data
Any data you provide to SIMBA remains subject to the privacy policy and any separate data-processing or commercial agreement relevant to the engagement. We process information only as necessary to deliver the service and to support the agreed operating model.
05 — Acceptable use
The platform must not be used to break the law, mislead users, compromise security, or bypass the agreed governance and operational boundaries. Any misuse may result in access restrictions or suspension of the relevant service.
06 — Implementation and rollout
Pilot, rollout and scale-up phases may include discovery, configuration, stakeholder mapping, integration planning and operational onboarding. The exact scope is determined by the agreed project plan and service model.
07 — Fees and billing
Fees depend on the agreed scope of implementation, integration, support and ongoing platform use. Invoice terms are set out in the relevant order form or commercial agreement and are due in accordance with that document.
08 — Who owns what
SIMBA retains ownership of the platform, software, architecture and associated intellectual property used to provide the service. You retain ownership of the data and content you provide, subject to any relevant rights, obligations and agreed processing arrangements.
09 — Confidentiality
Each party will keep confidential information belonging to the other party strictly limited to the purpose of the engagement and will protect it with at least the same care applied to its own similar information.
10 — Support and availability
Support availability and service levels are defined in the relevant commercial arrangement. Where a specific service commitment is referenced, it will be stated in the agreed terms for that engagement.
11 — What we do not promise
The service is provided with reasonable care and professionalism, but no service can guarantee uninterrupted operation, perfect accuracy or the complete elimination of risk. To the extent permitted by law, SIMBA disclaims implied warranties beyond those expressly set out in the agreement.
12 — Limits on liability
Neither party is liable for indirect, consequential or speculative loss, except where the law imposes a stricter obligation. Any liability cap is determined by the applicable commercial agreement.
13 — Ending the agreement
Either party may end the engagement in accordance with the notice period and termination terms set out in the relevant agreement. We may suspend access where there is non-compliance, misuse or a material failure to meet agreed obligations.
14 — Changes
SIMBA may update the service and these terms over time. Material changes will be communicated and will take effect as described in the relevant notice or agreement.
15 — Governing law
The legal framework for these terms is the governing law set out in the relevant commercial agreement between the parties.
16 — Contacting us
